1.1These Terms of Use govern your use of the CloseBuy website and mobile application (collectively, the "Platform") and define the legally binding terms on which you access, browse, register, or otherwise use the Platform to enjoy our Services. These Terms apply to all Users of the Platform, including guest Users.

1.2 By using our Platform in any manner, you confirm that you accept these Terms of Use and agree to comply with and be bound by them.

1.3 You understand that a breach of any of these Terms may result in your rights to use the Platform and Services being restricted, suspended, or withdrawn.

1.4 We may amend these Terms at any time. Please check this page periodically to take notice of any changes we make, as they will be binding on you. We will notify you of material changes through the app or via email.

1.5 If you do not agree to these Terms, please do not access or use the Platform or Services.

2.1The CloseBuy Platform connects customers with nearby local vendors and businesses, enabling them to discover, purchase, and receive products through our hyperlocal marketplace. CloseBuy also offers AI-powered shopping assistance, customer support tools, and other features designed to simplify local commerce (collectively, the "Services"). Current product categories include groceries, food and beverages, household items, personal care products, snacks and confectionery, baby care products, and stationery.

2.2The Platform features a variety of local vendors, shops, and businesses ("Vendors") within your estate and surrounding neighbourhood. You can browse available products, place orders, and have them delivered to you within the hour.

2.3 CloseBuy serves as the platform operator and last-mile logistics coordinator. We are responsible for facilitating your order and coordinating its delivery. We are not a subsidiary or affiliate of any Vendor listed on our Platform.

2.4 We do not guarantee the existence, quality, safety, or accuracy of any products as advertised by Vendors. We do not guarantee the truth or completeness of Vendor listings, product descriptions, or the ability of a Vendor to fulfil an order exactly as described.

3.1 We do not guarantee that the Platform or any of the Services will always be available, uninterrupted, or fault-free. We will not be liable to any User if the Platform is unavailable at any time or for any period.

3.2 We do not guarantee that the Platform or any content on it will be free from errors or omissions.

4.1 Our Services are available only to individuals who are 18 years of age or older and who can form legally binding contracts under applicable Nigerian law. By registering, you confirm that you meet these requirements.

4.2 Users must create an account providing their full name, email address, phone number, and estate details. By registering, you agree to these Terms of Use and our Privacy Policy.

4.3 You are solely responsible for keeping your login credentials confidential. You will be responsible for all activities and orders made using your account. In the event of unauthorised use, contact us immediately.

5.1 All payments made on our Platform are processed by authorised third-party payment processors who provide a secure gateway for online transactions.

5.2 Payments for orders may be made through debit/credit cards, bank transfers, QR codes, or an in-app electronic wallet.

5.3 Delivery fees are displayed at the checkout page before you confirm your order. All product prices are displayed in Nigerian Naira (₦).

6.1 CloseBuy Nigeria Limited and our Vendor partners own all intellectual property rights in the Platform and any materials published on it. All such rights are reserved. You may access and use Platform materials for personal, non-commercial use only.

6.2 Any disassembly, decryption, extraction, reverse engineering, copying, or reproduction of any element of the Platform is strictly prohibited.

7.1 To the extent permitted by law, CloseBuy shall not be liable for any indirect, punitive, incidental, special, or consequential damages arising from your use of or inability to use our Services or Platform, including delays or disruptions, account suspensions, or damages resulting from external viruses or security issues.

8.1 The Platform must be used only for lawful purposes. You agree not to use the Platform for fraudulent purposes, data scraping, copying/cloning, interfering with the systems, or bypassing authentication features.

9.1 Confirming an order at checkout constitutes an offer to purchase the selected items. Cancellations may only be made before the order has been accepted by the Vendor.

9.2 Delivery is coordinated directly between you and CloseBuy through our network of delivery agents. You commit to being available to take delivery at the specified time and address.

10.1 AI-powered features on the Platform — including shopping assistance and customer support tools — are provided as-is to enhance your experience. Outputs from these features are not guaranteed to be accurate or complete. You should use your own judgement when acting on any AI-generated recommendation.

11.1 These Terms of Use are governed by the laws of the Federal Republic of Nigeria. In the event of any dispute regarding these Terms, the parties submit to the exclusive jurisdiction of the Nigerian courts.
